Terms of Service

Last updated

These Terms of Service ("Terms") govern your use of Heady, the hosted service at heady.video that turns a topic into a finished video ("Heady" or the "Service"). The Service is provided by Vision Music & Media Limited, Room 1006, 10/F, Haleson Building, 1 Jubilee Street, Central, Hong Kong ("we", "us"). Our full company details are in the imprint.

By creating an account or using the Service you agree to these Terms, to the Acceptable Use Policy and to the Refund Policy. Our Privacy Policy explains how we handle personal data.

1. The Service

1.1. Heady uses artificial intelligence to draft scripts from topics you provide, generate images, narration and animated graphics, and assemble them into videos with subtitles and music. You review, edit and approve the script, and download the finished video and its exports.

1.2. Heady is hosted. Nothing is installed on your device. We may change, add or remove features over time. If we remove a feature that is central to a paid plan you are on, we will tell you in advance and, where the law requires it, give you the option to end the plan and receive a proportionate refund.

1.3. AI output can be wrong. Scripts may contain factual errors; images and narration may not match what you intended. You are responsible for reviewing every video before you publish it (see section 7).

2. Accounts

2.1. You must be at least [PLACEHOLDER: minimum age, e.g. 18, or the age of majority where you live] to create an account.

2.2. Give accurate account information and keep your login secure. You are responsible for activity under your account. Tell us at [PLACEHOLDER: security contact email] if you believe your account has been accessed without permission.

2.3. An account is for one person. If you use Heady for a business, you confirm that you are authorised to accept these Terms on its behalf, and "you" includes that business.

3. Plans and credits

3.1. Credits. Producing videos uses credits. One credit equals one finished minute of video, as described on the pricing page. The pricing page also lists any options that use credits at a different rate. The number of credits a video will use is shown before you start production [PLACEHOLDER: confirm the estimate is shown before every run].

3.2. When credits are used. Credits are reserved when production starts and charged for the finished minutes of video. If production fails for a reason on our side, the reserved credits are returned to your balance [PLACEHOLDER: confirm the hold, settle and release rules].

3.3. Plan credits are granted at the start of each billing period and expire at the end of that period [PLACEHOLDER: confirm expiry or rollover]. Credit packs bought separately expire [PLACEHOLDER: e.g. 12 months after purchase] and are used after plan credits.

3.4. Credits have no cash value, cannot be transferred or sold, and cannot be exchanged for money except as set out in the Refund Policy or where the law requires.

3.5. Plan limits. Each plan has limits, for example on video length, resolution, the number of videos in production at once, or the options available. They are listed on the pricing page.

4. Payment

4.1. Merchant of record. Purchases are sold and processed by Stripe through its Managed Payments service, which acts as the reseller and merchant of record for your order [PLACEHOLDER: name the Stripe entity and the buyer-facing brand, e.g. Link, exactly as shown at checkout]. Stripe's buyer terms govern the payment itself, including taxes, receipts and payment disputes. Your bank statement shows [PLACEHOLDER: statement descriptor].

4.2. Prices and taxes. Prices are shown on the pricing page and at checkout. Taxes such as VAT are calculated and collected by the merchant of record at checkout based on your location.

4.3. Subscriptions renew automatically. A subscription renews at the end of each billing period at the then-current price until you cancel. You can cancel at any time in your account settings [PLACEHOLDER: confirm the cancel path, including the German "cancel contracts here" button]. Cancellation takes effect at the end of the current period; you keep access and your remaining plan credits until then.

4.4. Price changes. We will tell you about a price change for your subscription at least [PLACEHOLDER: e.g. 30] days before it takes effect. If you do not agree, you can cancel before the next renewal.

4.5. Failed payments. If a renewal payment fails, we may limit new production until it succeeds [PLACEHOLDER: grace period].

5. Your content

5.1. "Your Content" means what you provide to Heady: topics, outlines, scripts and edits, files you upload, and instructions.

5.2. You keep all rights you have in Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Your Content only as needed to provide and secure the Service, including sending it to the AI model providers listed in the Privacy Policy to generate your videos. This licence ends when Your Content is deleted from the Service, except for copies we must keep by law or in backups for the period stated in the Privacy Policy.

5.3. We do not use Your Content or your Outputs to train AI models, and we do not sell them [PLACEHOLDER: confirm the data-use and retention settings for every model provider reached through OpenRouter].

5.4. You confirm that you have all rights and permissions needed for Your Content, including any text, images, voices, music, names or likenesses it contains, and that using it with Heady does not infringe anyone's rights or break the law.

6. Outputs

6.1. "Outputs" means what Heady generates for you: scripts, images, narration, animated graphics, videos, subtitles, chapter timestamps and descriptions.

6.2. As between you and us, you own the Outputs, and we assign to you any rights we may have in them, to the extent the law allows. You may use Outputs for any lawful purpose, including commercially [PLACEHOLDER: confirm whether any plan restricts commercial use or adds a watermark].

6.3. Please note:

  • In some countries, material generated by AI without sufficient human creative input may not be protected by copyright. We cannot guarantee that you can enforce copyright in an Output.
  • AI models can produce similar outputs for different users. Outputs are not guaranteed to be unique.
  • Outputs may include elements licensed to us by third parties, such as music or fonts. Your rights to those elements are limited to using them as part of the Output [PLACEHOLDER: link the third-party licence notices].

6.4. Every video exported from Heady carries machine-readable marks that identify it as AI-generated, as described in our AI disclosure [PLACEHOLDER: confirm the marking ships at launch]. You must not remove, alter or obscure them.

7. Your responsibility for what you publish

7.1. You decide whether and where to publish an Output, and you are responsible for it. Before publishing, check it for accuracy, for rights in anything it shows or says, and for compliance with the law and with the rules of the platform you publish on.

7.2. You are responsible for any disclosure or labelling the law or a platform requires, for example YouTube's disclosure of realistic altered or synthetic content, or the disclosure of deep fakes under Article 50(4) of the EU AI Act. See the Acceptable Use Policy.

7.3. We do not promise that any video will be accepted, monetized, recommended or viewed on any platform, or that your channel will qualify for or remain in any partner or monetization programme.

8. Acceptable use

You must follow the Acceptable Use Policy. We may refuse to produce, or remove, content that we reasonably believe breaks it.

9. Suspension and termination

9.1. You can close your account at any time in your account settings. Closing your account cancels any subscription at the end of the current period [PLACEHOLDER: confirm, or cancel immediately with refund rules].

9.2. We may suspend or close your account, with notice where reasonable, if you seriously or repeatedly break these Terms or the Acceptable Use Policy, if a payment is disputed or reversed, or if we must do so by law. Where we close an account without fault on your side, we refund unused prepaid amounts proportionately.

9.3. After closure, we delete your account data and Your Content as described in the Privacy Policy. Download anything you want to keep before closing your account.

10. Availability

We aim to keep Heady available and your videos safe, but we provide the Service "as is" and "as available". We may need to interrupt it for maintenance, security or reasons outside our control. We do not guarantee any particular uptime [PLACEHOLDER: add a service level only if one is offered]. Keep your own copies of finished videos.

11. Liability

11.1. Nothing in these Terms limits liability that cannot be limited by law, including liability for intent and gross negligence, or the mandatory rights of consumers.

11.2. Subject to 11.1, we are not liable for indirect or consequential loss, lost profits, lost revenue (including lost advertising revenue), or loss of data, and our total liability arising from the Service in any 12 months is limited to the amounts you paid for the Service in those 12 months [PLACEHOLDER: confirm the cap and the wording under the governing law].

11.3. If you use Heady for a business, you will indemnify us against third-party claims arising from Your Content or from your publication or use of Outputs in breach of these Terms.

12. Changes to these Terms

We may update these Terms. For material changes we will notify you by email or in the app at least [PLACEHOLDER: e.g. 30] days before they take effect. If you do not agree, you can cancel before the change takes effect. Continuing to use the Service after that date means you accept the new Terms.

13. Governing law and venue

13.1. These Terms are governed by [PLACEHOLDER: governing law, e.g. the laws of the Hong Kong SAR; counsel to confirm], excluding its conflict-of-law rules.

13.2. The courts of [PLACEHOLDER: venue, e.g. Hong Kong; counsel to confirm] have exclusive jurisdiction, except where mandatory law gives you the right to bring proceedings elsewhere.

13.3. If you are a consumer, you keep the protection of the mandatory laws of your country of residence, and you may bring proceedings in the courts of that country where the law allows.

14. General

If a provision of these Terms is invalid, the rest remain in force. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer them to a successor of our business with notice to you. These Terms, together with the policies they refer to, are the whole agreement between you and us about the Service.
